PXE Pro Licence

This End User License Agreement ("EULA") is a legal agreement between you ("User") and Soatrix NZ Ltd. ("Company") for the use of PXE Pro ("Software").

By installing, accessing, or using the Software, you agree to be bound by the terms and conditions set forth in this agreement. If you do not agree with these terms, you must not install or use the Software.

1. License Grant

The Company grants you a non-exclusive, non-transferable, revocable license to use the PXE Pro Software according to the terms of this EULA and the subscription tier you have selected.

2. Subscription Tiers

PXE Pro is offered under the following subscription plans:

• Starter: Subscription price per machine per month. Maximum 100 client machines.
• Lifetime: One-Time fee limited to 10 maximum client machines and includes Active Directory support.
• Enterprise: Minimum 100 Active Machines, priced per machine with all Advanced features, designed for volume licensing.

Subscriptions are billed on a monthly, quarterly, or yearly basis, based on the user’s choice at the time of purchase.

3. Intellectual Property Rights

• The Software is owned by Soatrix NZ Ltd. and is protected by copyright and other intellectual property laws. You are granted a license to use the Software, but ownership remains with Soatrix NZ Ltd.
• You may not modify, reverse-engineer, decompile, or redistribute the Software in any manner.
• You are prohibited from creating derivative works based on the Software.

4. Restrictions on Use

• You may not directly profit from the distribution or use of the Software. For instance, selling access to the PXE Pro Software or its functionality (e.g., charging for different boot images or system setups) is prohibited.
• However, businesses such as e-sports centers or internet cafes may charge for client machine access where the Software is used, but not for the use of the Software itself.
• Providing customer support, installation services, or related services for clients is permissible, provided that no terms of this EULA are violated (e.g., reverse-engineering or redistributing the Software).

5. User Responsibilities

• You are responsible for ensuring that your use of the Software is lawful and ethical. The Software must not be used to engage in or facilitate illegal activities, including but not limited to spreading malware, viruses, or unauthorized hacking tools.
• You agree to use the Software in a manner that does not harm or disrupt the services of Soatrix NZ Ltd. or its other users.

6. Support and Maintenance

• Support is available at no additional cost to valid license holders through live chat within the PXE Pro admin panel or via the PXE Pro website’s contact form.
• Maintenance services, either remote or on-site, may be provided for an additional fee based on the nature of the request. The Company will quote a fair price based on similar previous requests.

7. Termination of License

• The Company reserves the right to terminate your license to use the Software at any time, with or without cause or notice. Termination may occur due to breach of this EULA or at the sole discretion of the Company.
• Upon termination, you must cease using the Software and uninstall all copies of it from your systems.

8. Limitation of Liability

• The Software is provided "as is," and Soatrix NZ Ltd. makes no warranties, either expressed or implied, regarding its performance, reliability, or fitness for a particular purpose.
• In no event shall Soatrix NZ Ltd. be liable for any damages, including but not limited to lost profits, data loss, or other incidental, consequential, or indirect damages arising out of your use of or inability to use the Software.

9. Governing Law and Jurisdiction

This EULA shall be governed by and construed in accordance with the laws of New Zealand. Any disputes arising from or related to this agreement shall be subject to the exclusive jurisdiction of the courts located in New Zealand.

10. Amendments

The Company reserves the right to modify this EULA at any time. Changes will be posted on the Company website or communicated to users, and continued use of the Software after such changes constitutes acceptance of the new terms.

By using the Software, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this EULA.
